Terms & Conditions
These Terms govern your access to and use of tripa.in and all software-as-a-service (SaaS) products, apps, APIs and related services offered by Tripa ("Tripa", "we", "us", "our") (together, the "Services"). By creating an account, starting a trial, subscribing or using the Services, you ("Customer", "you") agree to these Terms. If you do not agree, do not use the Services.
1. The Services
Tripa builds and operates cloud-based software for businesses, which may include invoicing and billing tools, booking and itinerary management, inventory and warehouse management, CRM/ERP modules, AI and automation features, mobile apps and APIs. Features, limits and pricing for each product are described on our website or in your plan at the time of purchase. We may add, change or remove features to improve the Services.
2. Eligibility & Accounts
- You must be at least 18 years old and legally able to enter into a contract under Indian law.
- If you sign up on behalf of a business, you confirm you are authorised to bind it, and "you" includes that business.
- Provide accurate registration details and keep them up to date.
- You are responsible for your login credentials, for all activity under your account, and for the actions of users you invite (staff, team members).
- Tell us immediately at support@tripa.in if you suspect unauthorised access.
3. Free Trials & Free Plans
- We may offer free trials or free plans with limited features or usage.
- At the end of a trial, your account will move to a paid plan only if you choose one; otherwise access may be limited or paused.
- Free plans and trials are provided "as is", may be changed or discontinued at any time, and are not covered by any service commitment.
- Data in unused or expired trial accounts may be deleted after 30 days.
4. Plans, Billing & Renewal
- Paid plans are billed in advance on a monthly, yearly or other cycle as selected at checkout.
- Auto-renewal: Subscriptions renew automatically at the end of each billing cycle unless cancelled before the renewal date. Where you have authorised recurring payments (e.g. UPI AutoPay or card mandate), we will charge it as per RBI rules, including any required pre-debit notifications.
- Prices are in Indian Rupees (INR) unless stated otherwise. GST and other applicable taxes are added as per law, and a GST invoice will be issued.
- Upgrades take effect immediately and may be charged on a pro-rata basis. Downgrades take effect from the next billing cycle; you are responsible for any loss of features or data that results.
- Usage beyond your plan limits (users, records, storage, messages, AI credits, etc.) may require an upgrade or be charged as add-ons.
- We may change prices with at least 15 days' notice by email or in-app. New prices apply from your next renewal.
- If a payment fails, we may retry it and, after reasonable notice, limit or suspend your account until the dues are cleared.
- Payments are processed by our payment partners (such as Razorpay). We do not store your full card or bank details.
5. Cancellation & Refunds
- You can cancel anytime from your account settings or by emailing us. Cancellation stops future renewals; you keep access until the end of the current paid period.
- Subscription fees already paid are non-refundable, including for partially used periods, unused features or unused seats, except where required by law.
- If you are charged in error (e.g. duplicate payment) or we are unable to provide the Service due to our fault, contact us within 7 days and we will refund the affected amount.
- One-time setup, onboarding, data migration or customisation fees are non-refundable once work has started.
- Approved refunds are processed to the original payment method within 7–10 working days.
6. Your Data
- Ownership: You own all data, content and files you or your users enter into the Services ("Customer Data").
- Our use: You give us permission to host, process, back up and display Customer Data only to provide, secure and support the Services. We do not sell Customer Data.
- Your customers' data: If you store personal data of your own customers (e.g. names, phone numbers, invoices), you are responsible for having a lawful basis and any required consent to do so. We process that data on your behalf as per our Privacy Policy.
- Export: You may export your data while your subscription is active, using available export features.
- Deletion: After cancellation or expiry, we may retain your data for up to 30 days so you can renew or export, after which it may be permanently deleted (except where we must keep records by law, such as invoices).
- Backups: We take regular backups, but you should keep your own copies of important data.
- Aggregated data: We may use anonymised, aggregated usage data (which does not identify you or your customers) to improve the Services.
7. Acceptable Use
You must not, and must not allow others to:
- Use the Services for anything illegal, fraudulent or that infringes others' rights
- Send spam or unsolicited messages, or run phishing or scams
- Upload malware, probe or test vulnerabilities, or attempt unauthorised access
- Overload the Services, scrape them, or exceed API rate limits
- Copy, reverse-engineer, decompile, resell, rent or sublicense the Services
- Use the Services to build a competing product
- Share one account login among multiple people where your plan is per-user
- Generate fake invoices, false GST records or misleading documents
We may suspend or terminate accounts that breach this section.
8. Intellectual Property
- The Services, including software, code, design, logos, templates, documentation and the "Tripa" name, are owned by Tripa and protected by law.
- We grant you a limited, non-exclusive, non-transferable licence to use the Services for your internal business purposes during your subscription.
- If you share feedback or suggestions, we may use them freely without obligation to you.
- You may not use our name or logo without our written permission.
9. Availability & Support
- We aim to keep the Services available 24×7 but do not guarantee uninterrupted or error-free operation.
- Planned maintenance will be communicated in advance where reasonably possible.
- Support is provided by email (and other channels listed in your plan) during business hours, Indian Standard Time. Response times depend on your plan.
10. Third-Party Services
The Services may rely on or connect with third-party providers such as cloud hosting, payment gateways, email/SMS/WhatsApp providers, maps and AI model providers. Their use is subject to their own terms. We are not responsible for their availability, pricing, policy changes or actions. AI-generated outputs may be inaccurate; please review them before relying on them.
11. Custom Work & Setup
Where we provide onboarding, data migration, customisation, integrations or custom development, the scope, price and timeline will be set out in a separate quotation or order. Unless the order says otherwise: such work requires advance payment; additional requests are charged separately; and Tripa retains ownership of the underlying platform and reusable code, while you receive a licence to use the customisation as part of your subscription.
12. Confidentiality
Each party will keep the other's non-public business, technical and financial information confidential and use it only for the purpose of these Terms, except where disclosure is required by law.
13. Disclaimer
Except as expressly stated in these Terms, the Services are provided "as is" and "as available". We do not warrant that the Services will meet every requirement, be error-free, or that outputs (including tax calculations, invoices, reports or AI suggestions) are free from mistakes. You are responsible for verifying the accuracy of documents and filings you generate, including GST compliance.
14. Limitation of Liability
- To the maximum extent allowed by law, we are not liable for indirect, incidental, special or consequential losses, including loss of profits, revenue, data, goodwill or business.
- Our total liability for all claims relating to the Services is limited to the fees you paid us in the 3 months before the event giving rise to the claim.
- We are not liable for delays or failures caused by events beyond our reasonable control (force majeure), including natural disasters, internet or power outages, government action or third-party failures.
15. Indemnity
You agree to indemnify and hold Tripa harmless from claims, losses and reasonable legal costs arising from your Customer Data, your use of the Services, or your breach of these Terms or applicable law.
16. Suspension & Termination
- You may stop using the Services and cancel your subscription at any time.
- We may suspend or terminate your account immediately for non-payment, breach of these Terms, illegal use, or security risk.
- We may discontinue a product with at least 30 days' notice, and will refund any prepaid fees for the unused period in that case.
- Sections on Data, Intellectual Property, Liability, Indemnity and Governing Law survive termination.
17. Governing Law & Disputes
These Terms are governed by the laws of India. Both parties will first try to resolve any dispute amicably within 30 days. Failing that, the courts at Dehradun, Uttarakhand shall have exclusive jurisdiction.
18. Changes to These Terms
We may update these Terms from time to time. For material changes, we will notify you by email or in-app at least 15 days before they take effect. Continued use of the Services after that means you accept the updated Terms.
